Governance is concerned with the structures, systems and processes that ensure the overall direction, effectiveness, supervision and accountability of the organisation.
Governance is exercised through the iVEC Board of Management, which provides leadership and oversight of the activities of the organisation. The function of the Board of iVEC is to collectively set its strategic direction, ensure the delivery of its objectives and to uphold its values.
Key Board responsibilities include:
- Compliance monitoring – ensuring compliance with the objectives, purposes and values of the organisation, and with its Members Agreement
- Organisational governance – setting or approving policies, plans and budgets to achieve those objectives, and monitoring performance against them
- Strategic planning – reviewing and approving strategic direction and initiatives
- Regulatory monitoring – ensuring that iVEC complies with all relevant laws, regulations and regulatory requirements
- Financial monitoring – reviewing budget, monitoring management and financial performance
- Financial reporting – considering and approving annual financial statements and required reports to government
- Organisational structure – setting and maintaining a framework of delegation and internal control
- Risk management – reviewing and monitoring the effectiveness of risk management and compliance in the organisation.
In providing leadership and direction, the Board works with the Executive Director in engaging external stakeholders, reviewing iVEC’s mission and objectives, identifying desired outcomes the organisation is seeking and setting the strategies it will use to achieve them.
The Executive Director, with the support of the iVEC Executive Committee, has direct responsibility for all management and operational issues within the direction and the policies laid down by the Board. Services to stakeholders are provided via the four iVEC Programs utilising the physical infrastructure contained in the three iVEC Facilities.
